Terms of Service

1. Acceptance of Terms

By accessing or using any service provided by Autohandled ("the Company," "we," "us," or "our"), including our website located at autohandled.com ("the Site") and any associated services, you ("Client," "you," or "your") agree to be legally bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must immediately cease use of our services.

2. Services Description

Autohandled provides a done-for-you growth infrastructure designed exclusively for language centers and educational institutions. Our services include, but are not limited to:

• Paid advertising campaign management across Meta (Facebook/Instagram) and TikTok platforms
• Short-form video and media production (Reels, TikToks, and social content)
• Custom AI chatbot development and deployment for WhatsApp and social media platforms
• Website design, development, and hosting
• Lead funnel architecture and enrollment automation systems
• Analytics reporting and growth consulting

3. Engagement & Onboarding

All service engagements begin with a formal onboarding process following the signing of a separate Service Agreement between Autohandled and the Client. These Terms govern the general relationship and use of our digital properties. Specific deliverables, timelines, pricing, and performance expectations are detailed in the individual Service Agreement.

The trial period (if offered) provides access to a limited scope of services as defined during the initial consultation. The Company reserves the right to discontinue trial access at any time with 24 hours' notice.

4. Client Obligations

To enable effective delivery of our services, you agree to:

• Provide accurate, complete, and timely information required for campaign creation, including brand assets, offers, and target audience details
• Grant Autohandled necessary administrative access to advertising accounts, social media profiles, and website platforms
• Respond to communications from our team within 48 hours during active campaign periods
• Ensure that all content, branding, and offers you provide comply with applicable local, national, and international laws and platform policies
• Not use our services to promote misleading, harmful, or illegal educational practices

5. Fees & Payment

Service fees are outlined in the individual Service Agreement. All fees are due as specified and are non-refundable once services have been delivered or substantially commenced, except where expressly agreed otherwise in writing.

Advertising spend (paid to Meta, TikTok, Google, or other platforms) is separate from Autohandled's management fees and is the sole responsibility of the Client. Autohandled acts as an agent managing these budgets on your behalf and does not mark up ad spend.

Late payments may result in temporary suspension of services. Accounts unpaid for more than 30 days may result in termination of the engagement.

6. Intellectual Property

Upon full payment of all associated fees, all creative deliverables produced specifically for your language center (including video content, written copy, and website code) become your property. Autohandled retains the right to display any work produced as part of our portfolio unless explicitly requested otherwise in writing.

Autohandled's proprietary systems, frameworks, AI models, automation workflows, and methodologies remain the exclusive intellectual property of the Company and may not be reverse-engineered, copied, or resold.

7. Performance & Guarantees

While Autohandled is committed to delivering measurable growth for your language center, results depend on multiple external factors including market conditions, ad platform algorithms, your pricing, and seasonal demand. Any growth targets or projections discussed are good-faith estimates and not legally binding guarantees unless specified in a separate written agreement.

Our trial guarantee ("5 days at our expense") applies strictly as defined in promotional materials and is subject to confirmation in your individual engagement terms.

8. Confidentiality

Both parties agree to maintain strict confidentiality regarding any proprietary information shared during the engagement, including business strategies, student data, financial information, and operational systems. This obligation survives termination of the service relationship for a period of two (2) years.

9. Limitation of Liability

To the maximum extent permitted by law, Autohandled shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services, including but not limited to loss of revenue, loss of enrollment, or reputational damage.

Our aggregate liability for any claim arising under these Terms shall not exceed the total fees paid by you to Autohandled in the three (3) months preceding the claim.

10. Termination

Either party may terminate the service engagement with 30 days' written notice unless a different notice period is specified in the Service Agreement. Upon termination, Autohandled will deliver all completed work and transfer access credentials to you within 7 business days.

We reserve the right to terminate immediately and without notice in cases of breach of these Terms, fraudulent activity, or actions that may harm the Company, its employees, or third parties.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Morocco. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts of Casablanca, Morocco.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be communicated via email or posted on our website. Continued use of our services after changes take effect constitutes acceptance of the revised Terms.
